Sales Terms & Conditions

ORDER

First order minimum 1.000,00 Euro. All orders are final. To be accepted, the possible alterations requested by the purchaser will have to be received in writing maximum 10 days after the receip of the order.
The prices shown are noted in Euros. They are given as an indication only, and may be subject to alteration if need be.

DELIVERY AND RISK TRANSFER

The goods are transported at the risk of the purchaser who, in any case of default or damage, is required to make the necessary reservations to the carrier by fax or registered letter, within eight (8) days following receipt of goods.

RECEIPT OF GOODS

Without prejudicing the arrangements made with regard to the carrier, complaints concerning apparent defects or non-compliance of goods delivered with the purchase order or with the dispatch note, must be made in wrlting to PAOLA C. within eight (8) days following receipt of goods.

RETURNS

Goods may only be returned by formal agreement between PAOLA C. and the purchaser. The purchaser is responsible for carriage expenses and risks.

CARRIAGE OVERSEAS AND TO FOREIGN COUNTRIES

Ex-works for all orders.

PAYMENT

First order: only anticipated payment – 3% discount
For all orders payed anticipated by swift bank-to-bank transfer as per proforma invoice: benefIt of a 3% discount.

DELAY OR DEFAULT IN PAYEMENT

Non payment of an invoice on date of payment will result, for all current invoices, in immediate due payment
Moreover PAOLA C. may suspend all current orders. All sums unpaid after third payment notice will cause debit of interests at legal rate increased of a penal clause equal to 10% of the amount of invoice. Debit note for interets and penal clause will be invoiced separately.

OWNERSHIP RESERVATION

PAOLA C. remains the owner of goods sold until full payment of principal and interest has been made, without prejudicing transfer of risks for loss, deterioration or damage of goods to the buyer once the goods are dispatched.

DISPUTES – APPLICABLE LAW

The Court of Milan (Italy) is solely competent to deal with any dispute concerning the present sale. The substantive laws of Italy shall be governing law of this contract.
